1. Definitions

In these Terms of Service:

• "OLTE," "we," "us," or "our" refers to OLTE Wallet Inc., a Delaware corporation.
• "Products" refers to OLTE hardware wallets, including Shield Mini, Vault Pro, and Fortress X.
• "Services" refers to our website, customer support, firmware updates, and any related services.
• "User," "you," or "your" refers to any person who purchases or uses our Products or Services.
• "Digital Assets" refers to cryptocurrencies, tokens, NFTs, and other blockchain-based assets.

2. Product Description

OLTE Wallet Products are hardware devices designed exclusively for the secure offline storage of private keys associated with Digital Assets. Our Products:

• Generate and store private keys in a secure, offline environment
• Allow users to sign transactions without exposing private keys
• Support recovery through industry-standard seed phrases

3. Non-Custodial Nature

OLTE Wallet is a non-custodial solution. This means:

• You are the sole owner and custodian of your private keys
• We never have access to your private keys or recovery phrases
• We cannot recover, reset, or access your wallet if you lose your recovery phrase
• You are solely responsible for securing your device, PIN, and recovery phrase
• We cannot reverse, cancel, or modify any transactions you make

4. Eligibility and Restrictions

To purchase and use OLTE Products, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding agreements
• Not be located in a jurisdiction where the purchase or use of our Products is prohibited
• Not be on any government sanctions list

We reserve the right to refuse service to anyone for any reason at any time.

5. Orders and Payment

5.1 Placing Orders

When you place an order, you agree that:

• All information provided is accurate and complete
• You are authorized to use the payment method provided
• Your order constitutes an offer to purchase, which we may accept or decline

5.2 Pricing

All prices are listed in US Dollars (USD) and are subject to change without notice. Prices do not include applicable taxes, which will be calculated at checkout based on your shipping address.

5.3 Payment

We accept major credit cards and other payment methods as displayed at checkout. Payment is processed securely through third-party payment processors. We do not store your full payment information.

6. Shipping and Delivery

• We ship to most countries worldwide. Shipping restrictions may apply to certain regions.
• Delivery times are estimates and not guaranteed. We are not responsible for delays caused by shipping carriers, customs, or other factors beyond our control.
• Risk of loss passes to you upon delivery to the carrier.
• You are responsible for any customs duties, taxes, or import fees.

7. Returns and Refunds

7.1 Return Policy

You may return unopened Products within 30 days of delivery for a full refund. To initiate a return:

2. Obtain a Return Merchandise Authorization (RMA) number
3. Ship the product in its original packaging with the RMA number

7.2 Opened Products

For security reasons, opened Products may only be returned if defective. We cannot accept returns of Products that have been initialized or used to store Digital Assets.

7.3 Refund Processing

Refunds will be processed within 10 business days of receiving the returned Product. Refunds will be issued to the original payment method.

8. Warranty

8.1 Limited Warranty

OLTE warrants that Products will be free from defects in materials and workmanship for the following periods from the date of purchase:

• Shield Mini: 2 years
• Vault Pro: 3 years
• Fortress X: Lifetime

8.2 Warranty Exclusions

This warranty does not cover:

• Damage from misuse, abuse, or unauthorized modifications
• Damage from exposure to liquids, extreme temperatures, or physical impact
• Normal wear and tear
• Damage from use with incompatible software or accessories
• Products with removed or altered serial numbers

8.3 Warranty Claims

To make a warranty claim, contact [email protected] with proof of purchase and a description of the defect. We will, at our discretion, repair or replace defective Products.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OLTE SHALL NOT BE LIABLE FOR ANY LOSS OF DIGITAL ASSETS, REGARDLESS OF CAUSE
• OLTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OLTE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT

You acknowledge that:

• Digital Assets are inherently volatile and risky
• Blockchain transactions are irreversible
• You are solely responsible for your investment decisions
• We provide no financial, investment, or legal advice

10. Disclaimer of Warranties

EXCEPT FOR THE EXPRESS LIMITED WARRANTY ABOVE, PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION

11. Intellectual Property

All intellectual property rights in our Products, Services, website, firmware, and content are owned by OLTE or our licensors. You may not:

• Copy, modify, or distribute our firmware without authorization
• Reverse engineer our Products except as permitted by law
• Use our trademarks without written permission
• Remove or alter any proprietary notices

Our firmware is provided under open source licenses where applicable. See our GitHub repository for details.

12. Firmware Updates

We may release firmware updates to improve security, add features, or fix bugs. By using our Products:

• You agree to install critical security updates promptly
• You acknowledge that failure to update may expose you to security risks
• You understand that updates may change Product functionality

Always verify firmware authenticity before installation. Only download updates from our official website or through the official OLTE companion app.

13. Prohibited Uses

You agree not to use OLTE Products or Services:

• For any illegal purpose or in violation of any laws
• To store assets obtained through illegal activities
• To evade taxes or engage in money laundering
• To circumvent sanctions or export restrictions
• In any way that could damage, disable, or impair our Services

14. Indemnification

You agree to indemnify, defend, and hold harmless OLTE, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our Products or Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your Digital Asset transactions or holdings

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our Products shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.

16. Changes to Terms

We may modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our Products or Services after changes constitutes acceptance of the modified Terms.

For material changes, we will provide notice through our website or by email to registered customers.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OLTE regarding our Products and Services, superseding any prior agreements.
